If you are entering into the Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Scope of Services

Maple Code Studio Ltd. provides professional digital development and design services, which may include, without limitation:

  • Custom website development;
  • Responsive front-end design;
  • Full-stack application development;
  • E-commerce platform setup;
  • Website maintenance and support;
  • UI/UX prototyping; and
  • Code audits and performance optimization.

The specific deliverables, timelines, milestones, technical specifications, assumptions, acceptance criteria, and fees for each project will be set out in a proposal, estimate, statement of work, or written agreement. Any services not expressly described in the applicable project documentation are excluded unless agreed in writing.

We may rely on third-party tools, plugins, hosting providers, payment gateways, APIs, frameworks, libraries, or platforms in delivering services. We are not responsible for the availability, performance, security, accuracy, or terms of use of third-party services, except to the extent expressly stated otherwise in writing.

3. User Obligations and Responsibilities

You agree to:

  • Provide complete, accurate, and timely information, content, access credentials, approvals, and feedback necessary for us to perform the services;
  • Ensure that all materials you provide, including text, images, logos, software, and other content, are lawful and do not infringe any third-party rights;
  • Obtain and maintain all rights, licenses, consents, and permissions required for your content and use of the deliverables;
  • Review deliverables promptly and notify us of defects, errors, or requested revisions within a reasonable time;
  • Maintain secure backups of your data, website, and systems unless backup services are expressly included in the scope;
  • Use the deliverables in compliance with applicable laws, including privacy, anti-spam, consumer protection, copyright, and accessibility laws; and
  • Refrain from using our services for unlawful, fraudulent, defamatory, harmful, or abusive purposes.

You are responsible for the security of your accounts, passwords, and access systems. We are not liable for unauthorized access resulting from your failure to maintain reasonable security practices.

You must not reverse engineer, decompile, disassemble, or attempt to extract source code, trade secrets, or confidential methods belonging to Maple Code Studio Ltd. except as expressly permitted by law or written agreement.

4. Payment Terms and Conditions

Fees will be set out in the applicable proposal, estimate, retainer agreement, or invoice. Unless otherwise agreed in writing:

  • All fees are in Canadian dollars (CAD) and are exclusive of applicable taxes, including GST/HST/PST where applicable;
  • A deposit or upfront retainer may be required before work begins;
  • Invoices are payable within the number of days stated on the invoice, or if unstated, within 14 days of the invoice date;
  • Late payments may result in suspension of work, delayed delivery, or service interruption until all overdue amounts are paid in full;
  • We may charge interest on overdue amounts at the maximum rate permitted by applicable law, calculated from the due date until payment is received; and
  • You are responsible for all bank charges, foreign exchange charges, payment processor fees, and collection costs incurred in collecting overdue amounts, to the extent permitted by law.

Any work outside the originally agreed scope, including additional revisions, integrations, content entry, troubleshooting caused by third-party systems, expedited timelines, or emergency support, may be billed at our standard rates or as otherwise agreed in writing.

Deliverables may remain subject to payment milestones, and ownership or release of certain assets may be delayed until full payment is received, except where prohibited by law or otherwise stated in the Agreement.

5. Cancellation and Refund Policy

Either party may cancel a project or service in accordance with the termination provisions set out in the applicable agreement, or if none are specified, by providing reasonable written notice.

Unless otherwise agreed in writing:

  • Deposits and retainers are non-refundable to the extent they cover reserved time, initial planning, discovery, onboarding, or administrative costs;
  • Work completed up to the effective cancellation date remains payable in full;
  • Approved third-party costs, including hosting, software licenses, domains, stock assets, and paid integrations, are non-refundable once incurred or ordered;
  • No refunds will be provided for completed services, delivered milestones, or approved work, except where required by applicable law or expressly stated in writing; and
  • If a refund is issued at our discretion, it will be limited to the portion of fees corresponding to services not yet performed, less reasonable administrative or transaction costs, where permitted by law.

If you cancel a maintenance or support plan, cancellation will take effect at the end of the current billing period unless otherwise agreed. Any unpaid amounts due prior to cancellation remain payable.

6. Liability Limitations

To the fullest extent permitted by applicable Canadian law, Maple Code Studio Ltd. shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings, arising out of or relating to the Agreement or the services, whether based in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Agreement and the services shall not exceed the total fees paid to Maple Code Studio Ltd. by you for the specific services giving rise to the claim during the three (3) months immediately preceding the event giving rise to liability, or CAD $1,000, whichever is greater, unless a different limitation is expressly stated in a signed written agreement.

We do not guarantee that any website, application, codebase, or deliverable will be error-free, uninterrupted, secure, compatible with all systems, or immune from cyber incidents. We are not responsible for issues caused by:

  • Third-party platforms, hosting providers, software, plugins, APIs, or integrations;
  • Unauthorized modifications made by you or any third party;
  • Failure of your internet connection, devices, servers, or infrastructure;
  • Incorrect, incomplete, or delayed information supplied by you; or
  • Force majeure events, as described below.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability for fraud, wilful misconduct, or any other liability that cannot lawfully be excluded.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all pre-existing intellectual property, tools, templates, methodologies, frameworks, code libraries, concepts, know-how, and development processes used or developed by Maple Code Studio Ltd. remain our exclusive property.

Upon full payment of all fees due for a project, and subject to the terms of the applicable Agreement, you will receive the intellectual property rights expressly assigned to you in the final deliverables, excluding:

  • Our pre-existing materials and underlying proprietary components;
  • Third-party materials and open-source software, which remain subject to their respective licenses;
  • Any content, trademarks, branding, or data supplied by you, which remain your property or the property of their respective owners.

Unless otherwise agreed, Maple Code Studio Ltd. retains the right to use non-confidential project work, screenshots, descriptions, and case studies for portfolio, marketing, and promotional purposes, provided that such use does not disclose your confidential information or violate applicable law.

If third-party or open-source components are included in a deliverable, you agree to comply with the applicable license terms. We make no representation that any third-party component is free from licensing obligations.

8. Data Protection and Privacy

Maple Code Studio Ltd. is committed to handling personal information in a manner consistent with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, provincial privacy laws.

In providing services, we may collect, use, disclose, and store personal information for purposes such as:

  • Communicating with you and managing the business relationship;
  • Performing development, testing, deployment, maintenance, support, and troubleshooting;
  • Invoicing, payment processing, and recordkeeping;
  • Meeting legal, accounting, and regulatory obligations; and
  • Improving our services, security, and internal operations.

You are responsible for ensuring that any personal information you provide to us has been collected and shared in compliance with applicable privacy laws and that you have all necessary notices, consents, and authorizations from affected individuals.

We will take commercially reasonable safeguards to protect personal information in our possession or control. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

Where we act as a service provider or processor for your data, you may remain the controller or organization responsible for determining the purpose and means of processing. Any separate privacy policy, data processing agreement, or confidentiality agreement entered into between the parties will prevail to the extent of any inconsistency with these Terms.

9. Force Majeure

Maple Code Studio Ltd. shall not be liable for any failure or delay in performing its obligations due to events beyond our reasonable control, including but not limited to natural disasters, fires, floods, earthquakes, epidemics, pandemics, labour disputes, power outages, telecommunications failures, internet outages, cyberattacks, governmental actions, war, civil unrest, supply chain disruptions, or failures of third-party services.

If a force majeure event occurs, our performance obligations will be suspended for the duration of the event, and the affected deadlines will be extended for a reasonable period. If the event continues for an extended period, either party may terminate the affected services by written notice, subject to payment for work performed and expenses incurred up to the termination date.

10. Changes to Terms

We may update or modify these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The revised Terms will be posted on our website or otherwise communicated to you and will become effective on the date specified in the updated version.

Your continued use of our services after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the services and, where applicable, terminate the Agreement in accordance with its terms.

11. Applicable Law and Jurisdiction

These Terms and any dispute arising out of or relating to them, the services, or any Agreement between you and Maple Code Studio Ltd. shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Subject to any applicable mandatory law, you agree that the courts located in British Columbia, Canada, shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms or the services.

If any invalid or unenforceable provision can be lawfully modified to make it valid and enforceable, it shall be deemed modified to the minimum extent necessary to achieve that result while preserving the parties’ original intent as closely as possible.
